Electronic Signature Consent
Bell Rock Group policy on the use of electronic signatures, electronic records and electronic communications.
Bell Rock Group is a Cayman Islands corporate services, governance and fiduciary services provider supporting Cayman entities, investment funds, foundation companies, digital asset structures and international corporate clients. In the course of providing our services, we frequently use electronic signatures, electronic records and electronic communications to onboard clients, document instructions, evidence approvals and administer the entities we service.
Electronic signing and communications may be used where permitted by applicable law and the relevant document or engagement terms. Any required consent is obtained through the applicable signing or engagement process. Merely visiting this website or submitting an initial questionnaire does not constitute a signature, establish an engagement or grant general authority to act.
The Cayman Islands Electronic Transactions Act (As Revised) recognises the use of electronic signatures and electronic records where applicable legal requirements are satisfied. Subject to those requirements, electronic signatures captured through approved platforms are intended to have the same legal effect as handwritten signatures, and electronically signed documents may be relied upon by Bell Rock Group as valid, binding and enforceable evidence of your approval, consent, instruction or agreement.
Documents That May Be Signed Electronically
Documents that may be signed or processed electronically include, without limitation:
• Engagement letters and terms of business
• Client onboarding forms
• KYC, AML and due diligence forms and certifications
• Corporate administration forms
• Registered office documents
• Board consents and written resolutions
• Director, officer and shareholder confirmations
• Service provider and counterparty agreements
• Authorisations, instructions and approvals
• Compliance confirmations and attestations
• Economic substance forms and supporting materials
• Fund governance documentation
• Other documents and communications provided by Bell Rock Group or its affiliates
Use of Electronic Signature Platforms
Bell Rock Group may use recognised electronic signature and document management platforms to issue, sign, countersign and store documents. Platforms used from time to time may include DocuSign, Adobe Acrobat Sign (Adobe Sign), comparable institutional electronic signature solutions, and secure client portals or other approved digital signing workflows.
We may change platforms from time to time, and the use of any particular platform should not be taken as an endorsement or as the exclusive method by which an electronic signature may be applied to a Bell Rock Group document.
Consent to Electronic Communications
Where agreed through the relevant engagement or document, communications may be provided by email, an approved electronic signing platform or another agreed channel. Any requirements for consent, service or delivery continue to apply.
The effectiveness and timing of electronic delivery are determined by the applicable document, agreed notice provisions and law. Sending an email alone does not override those requirements.
Authority to Sign
Where you sign a document electronically in connection with Bell Rock Group's services, you represent and warrant that:
• you are the intended recipient of the document or are an authorised signatory;
• you have full authority to sign the document on behalf of the relevant entity, fund, account or person, where applicable;
• the information you have submitted in connection with the document is accurate, complete and not misleading; and
• you will not share signing links, access credentials, one-time passwords or authentication codes with any person who is not authorised to act on your behalf.
Electronic signing platform authentication is one element of verification. Bell Rock may require further evidence of identity, authority or approval and will apply the checks required for the relevant document, transaction and risk assessment.
Recordkeeping and Audit Trails
Bell Rock Group may retain electronic records, audit trails, certificates of completion, IP address logs, timestamps, authentication evidence and related metadata as part of its client records, compliance files, statutory registers and corporate administration records.
These records may be used as evidence of execution, instruction or consent, and may be produced to auditors, regulators, banks, custodians, fund administrators or other parties where required, permitted or appropriate.
When Original Documents May Be Required
Electronic signatures may not be suitable for all documents, transactions or jurisdictions. Bell Rock Group may, in its discretion or as required, ask for original wet-ink signatures, notarised documents, certified true copies, apostilled documents, or other forms of original documentation.
This may apply where required by:
• a fund's, foundation's or company's constitutional documents;
• regulatory requirements, including filings with CIMA, the Cayman Islands Registrar of Companies or other authorities;
• counterparty, bank, custodian, prime broker or service provider requirements;
• internal policies, risk assessments or onboarding procedures of Bell Rock Group; or
• any other circumstances in which Bell Rock Group considers original documentation necessary or appropriate.
The use of electronic signatures with Bell Rock Group does not create any expectation that all documents in a particular matter or relationship will be accepted in electronic form.
Security and Unauthorised Use
You should treat your email accounts, signing links, authentication codes, passwords and other access credentials as confidential and take reasonable steps to protect them against unauthorised use. Bell Rock Group will not ask you to share login passwords or full authentication codes by email or telephone.
If you receive an electronic signing request, email or communication that appears suspicious, unexpected or potentially unauthorised, or if you believe your account or credentials may have been compromised, please contact Bell Rock Group immediately so that the request can be reviewed and, where appropriate, withdrawn or replaced.
Affiliates
Where relevant, this consent applies to documents and communications involving Bell Rock Group and its affiliated or related service entities, including services provided in connection with Cayman corporate, fund, foundation, DAO, digital asset and governance structures.
