Practical answers about establishing and supporting your Cayman structure.

Getting Started

Why choose the Cayman Islands to domicile a fund?

Cayman offers established fund structures, a common-law legal system, specialist service providers and a regulatory framework familiar to international market participants. Entity-level tax neutrality does not remove tax obligations in investor, manager or other relevant jurisdictions. The choice of domicile should support the strategy, investor base, distribution plan and operating model.

Fund Formation

What is the difference between a mutual fund and a private fund?

Investor-initiated redemption rights are a central distinction. Open-ended mutual funds issue interests redeemable or repurchasable at the investor’s option, subject to their terms. Closed-ended private funds generally return capital through distributions rather than investor-initiated redemption. An open-ended fund can still have lock-ups, gates and notice periods. The full statutory definitions, management arrangements and exclusions determine whether and how either Act applies.

Which entity should I use — exempted company, LLC or exempted limited partnership?

The choice depends on investor rights, funding arrangements, tax classification, governance and the proposed activities. Exempted companies are commonly used for open-ended funds and holding vehicles. Exempted limited partnerships are widely used for private equity and venture capital structures. LLCs offer contractual flexibility and may suit manager, general-partner or other vehicles. The regulatory route must be assessed separately from the entity form.

Directors & Governance

What do independent directors do, and are they required?

Independent directors provide objective oversight of governance, conflicts, valuation, liquidity and service-provider performance. Director registration under the Directors Registration and Licensing Act applies to covered entities, including regulated mutual funds and specified SIBA registered companies. A private fund is not a covered entity solely because it is registered under the Private Funds Act. Independence and board composition must be assessed against the actual entity, applicable requirements and investor expectations; there is no universal majority-independent rule for every Cayman structure.

Compliance & AML

Which anti-money-laundering officers must a Cayman fund appoint?

A fund conducting relevant financial business must designate individuals to perform the AMLCO, MLRO and DMLRO functions. These are three roles, not necessarily three different people. The AMLCO may also act as MLRO or DMLRO where the individual is competent and has sufficient capacity. The MLRO and DMLRO must be different people. Appointments, reporting lines, access to information and board oversight must support effective performance of each role.

Economic Substance

Does my entity have economic substance obligations?

Separate the annual notification from the substantive economic substance test and reporting. The outcome depends on the entity’s classification, activities, income and any exclusion. Investment funds within the statutory definition are excluded from relevant-entity status, although notification obligations can remain. A manager is assessed separately from its fund. Pure equity holding companies have a reduced test; other relevant activities may require a different level of Cayman resources. A registered office or director appointment alone is not sufficient evidence of substance.

Can you set up a Cayman Foundation for a DAO or token project?

Bell Rock supports Cayman foundation formation and ongoing governance for DAO, protocol and token projects. A foundation can continue without members if the statutory conditions are met, including the supervisor requirement. Its constitution should define decision-making, delegated powers, supervision and implementation of community votes. Foundation status does not remove securities, VASP, AML or other obligations, or automatically protect every project participant.

Working with Bell Rock

How does onboarding with Bell Rock work?

Begin with the relevant online questionnaire. Bell Rock reviews the proposed entity, activities and service requirements, then confirms scope and engagement terms. Client acceptance remains subject to due diligence and any regulatory requirements. Identity documents and other sensitive material are requested through the agreed onboarding process; do not include them in an initial website enquiry. Submitting a questionnaire does not establish an engagement or authorise Bell Rock to act.

Fees & Timelines

How long does it take to set up a Cayman entity or fund?

Entity formation and operational launch are separate milestones. Timing depends on complete due diligence, the chosen structure, documentation, required registrations and service-provider readiness. Bank, custody and prime-broker onboarding can determine the actual launch date even after incorporation. Bell Rock can assess the sequence and dependencies after reviewing the questionnaire; no launch date should be treated as guaranteed.

Is Bell Rock regulated?

Bell Rock Group Financial Services Limited holds a Company Manager licence from the Cayman Islands Monetary Authority, licence number 633916. The scope of an engagement must remain within the relevant permissions and agreed services. A company-management licence is distinct from a fund’s own registration or a third-party investment manager’s permissions.

Do I need to register my fund with CIMA?

Assess the statutory definition, proposed investor rights and applicable exclusions before selecting a route. In-scope open-ended funds fall under the Mutual Funds Act. In-scope private funds apply for registration within 21 days of accepting capital commitments and must be registered before accepting capital contributions for investment. Formation of the entity alone does not authorise regulated fund business. Registration, offering documentation, appointments and operating readiness should be planned together.

What is a registered office and do I need one?

A registered office provides the official Cayman address required for a company and specified other entity types, including service of documents and support for statutory records and filings. Bell Rock can provide registered office and agreed corporate administration services. A change of provider requires an orderly handover, appropriate approvals and relevant filings. It does not itself transfer the entity to another jurisdiction or satisfy economic substance requirements.

Compliance & AML

What are FATCA and CRS obligations?

FATCA and the Common Reporting Standard (CRS) are automatic exchange-of-information regimes. Cayman financial institutions — including most funds — must classify their status, conduct due diligence to identify reportable account holders (US persons under FATCA; all reportable jurisdictions under CRS), register where required, and file annual reports with the Cayman Tax Information Authority. The two regimes are managed together as part of a fund's ongoing compliance, and non-compliance can attract penalties. Bell Rock can assist with classification, registration and reporting support.

What is VASP registration and do I need it?

The VASP framework applies to specified virtual asset services carried on as a business in or from Cayman. The required authorisation depends on the service. Virtual asset custody and trading platform services are subject to licensing requirements effective from 1 April 2025, so registration alone should not be treated as sufficient. Other activities require analysis of the registration route, exclusions and any available waiver. Investing a fund’s own assets in digital assets is distinct from providing virtual asset services to customers.

What is a master-feeder structure?

One or more feeder vehicles invest into a master vehicle where portfolio activity is conducted. This can consolidate trading while accommodating different investor or tax profiles through separate feeders. Each entity has its own governance, documentation and regulatory analysis. Cayman master-fund registration depends on the statutory definition and the relationship with regulated feeders; it should not be inferred from the label alone.

What is a segregated portfolio company (SPC) and when should I use one?

An SPC is one Cayman exempted company with statutory segregation between its portfolios. Portfolios are not separate legal persons, so contracts must identify the SPC and the relevant portfolio correctly. The structure can support distinct investment pools within a common operating framework. General-asset recourse, foreign recognition and portfolio-specific filings still require attention. Emerging managers can explore the fund infrastructure of our partner firm, CV5 Capital, with investment decisions remaining with their appointed investment manager.
