Segregated Portfolio Company
One Cayman company with statutory separation between portfolios, each of which operates within the SPC’s single legal personality.
A segregated portfolio company is a single Cayman exempted company with statutory segregation between the assets and liabilities of its portfolios. Each portfolio is not a separate legal person: contracts are entered into by the SPC for the relevant portfolio. Portfolio assets are protected from other portfolios’ creditors and the SPC’s general creditors. Potential recourse to general assets must be assessed under the Companies Act, the articles and the contract; absolute protection of general assets should not be assumed. Separate records, correct contracting and consideration of recognition outside Cayman are essential.
