Exempted Company
The most common Cayman corporate vehicle; a company that does not carry on business with the public in Cayman and enjoys administrative flexibility.
An exempted company is the most widely used Cayman Islands corporate vehicle. It is incorporated under the Companies Act on the basis that it does not carry on business with the public in the Cayman Islands except in furtherance of its business conducted outside the jurisdiction. Exempted companies benefit from administrative flexibility; no requirement to hold an annual general meeting in Cayman, no public register of shareholders, and the ability to obtain a tax undertaking certificate. They are commonly used as fund vehicles, holding companies, joint-venture vehicles and special purpose vehicles.
