Closed-ended Fund
A fund whose interests are not redeemable or repurchasable at the investor’s option, typically returning capital through distributions.
A closed-ended fund does not issue interests redeemable or repurchasable at the investor’s option. Capital is commonly committed and drawn down, with distributions following realisations. A Cayman structure must satisfy the statutory private-fund definition and fall within the Act’s scope before registration is required; the label closed-ended alone is not conclusive. Non-fund arrangements and other exclusions require separate assessment.
