Governance

Cayman common law / CIMA guidance

October 17, 2026

A conflict of interest arises where the personal or commercial interests of a director, manager or service provider compete, or may appear to compete, with their duties to the fund or its investors. Sound governance requires that conflicts are identified, disclosed and managed; through a conflicts policy, board oversight and, where necessary, independent decision-making; so that decisions are taken in the fund's best interests. Managing conflicts well is a hallmark of institutional-grade governance.
