Foundation Supervisor

A person appointed to oversee the directors of a Cayman foundation company where it has no members.

Governance

Foundation Companies Act (As Revised)

October 17, 2026

A foundation supervisor is a person, other than a member, with an unconditional right to attend and vote at general meetings under the foundation’s constitution. A foundation that ceases to have members must have one or more supervisors. The constitution determines the supervisor’s powers and duties, including any oversight or appointment rights. The role should not be described as having identical responsibilities in every foundation.
