Limited Liability Company
A flexible Cayman body corporate with separate legal personality and members whose liability is limited, combining company and partnership features.
A Cayman limited liability company (LLC) is a body corporate with separate legal personality whose internal affairs are governed by a contractual LLC agreement, combining the separate personality of a company with the flexibility of a partnership. Introduced under the Limited Liability Companies Act and modelled in part on the Delaware LLC, it has no share capital; instead members hold capital accounts and rights as set out in the agreement. LLCs are frequently used as general partners, carried-interest vehicles, managers and fund vehicles, particularly where US managers value familiarity with the Delaware model.
