Private Credit Fund
A closed-ended fund that originates or invests in private debt, typically structured as an exempted limited partnership.
A private credit fund provides financing to companies through directly originated or privately negotiated loans and other debt instruments, rather than publicly traded bonds. These funds are usually closed-ended and structured as exempted limited partnerships, regulated under the Private Funds Act. Structuring considerations include the treatment of loan origination, leverage facilities, and the valuation and safekeeping requirements applicable to a fund's credit assets.
Classification and registration depend on the full statutory definition, the entity’s terms and applicable exclusions. Strategy labels alone do not determine the regulatory route.
