Private Equity Fund
A closed-ended fund that acquires equity stakes in private companies, typically structured as an exempted limited partnership.
A private equity fund is a closed-ended vehicle that invests in equity or equity-related interests in private companies, aiming to create value over a multi-year holding period before exiting. In the Cayman Islands these funds are most commonly structured as exempted limited partnerships, with capital drawn down against investor commitments and returns distributed as investments are realised. They are regulated under the Private Funds Act.
Classification and registration depend on the full statutory definition, the entity’s terms and applicable exclusions. Strategy labels alone do not determine the regulatory route.
