A Cayman foundation for a token project gives a protocol, DAO or token issuer separate legal personality without traditional owners, a legal counterparty for service providers, limited liability and a home for treasury assets. This guide explains why Web3 projects use the Cayman foundation company, how the structure is put together, and the governance and token questions that make it credible.

Key takeaways

  • A Cayman foundation company has separate legal personality and can be structured to be ownerless.
  • It gives a DAO or protocol a legal counterparty, limited liability and a home for treasury assets.
  • Governance is built from directors, a supervisor, and a constitution that can give effect to on-chain governance.
  • Token issuance and virtual asset activity require separate regulatory analysis, including under the VASP Act, before any token generation event.

Why a foundation, not a company or nothing at all

An unincorporated DAO has no legal personality: it cannot easily hold assets, contract with service providers or limit the liability of its participants, who may be exposed as if in a general partnership. A foundation company solves this.

Formed under the Foundation Companies Act (As Revised), it combines the separate legal personality and limited liability of a company with foundation-like features. It can be structured to have no shareholders and to exist to pursue defined purposes, such as supporting and developing a protocol. Our guide to Cayman foundation companies for DAOs covers the governance roles in more depth.

How the structure works

The foundation is governed by its memorandum and articles and, commonly, by bylaws that set out its objects and decision-making. It is administered by directors and overseen by a supervisor, a role designed to hold the directors accountable where there are no members.

The constitution can be drafted to reflect and give effect to the project's on-chain governance, for example by requiring the foundation to act in accordance with community token-holder votes within defined guardrails. The wider questions this raises are discussed in governance of decentralised protocols.

Treasury and token considerations

The foundation typically holds the project treasury and may act as, or coordinate with, the token issuer. This brings a distinct set of questions:

  • the legal characterisation of the token and any rights attaching to it
  • the regulatory treatment of issuance and of any virtual asset services, including whether registration or licensing under the Virtual Asset (Service Providers) Act (As Revised) is required; see Cayman VASP registration requirements
  • tax analysis
  • disciplined treasury governance

These should be resolved before any token generation event.

Getting the governance right

The credibility of a foundation structure rests on governance that is real, not cosmetic: capable and appropriately independent directors, a supervisor who genuinely exercises oversight, clear documentation of purposes and decision-making, and robust treasury controls.

Done well, this reassures exchanges, counterparties and the community that the project is properly grounded.
