Choosing Cayman fund service providers is a commercial decision as much as an administrative one, because institutional allocators assess the whole service-provider line-up during operational due diligence (ODD) and weak links cost mandates. This checklist sets out the providers a Cayman fund needs, what each does, and how to choose them to a standard that stands up to ODD.

Key takeaways

  • The core providers are the administrator, the auditor, the directors and a corporate services provider, alongside the workstream that prepares the constitutional and offering documents.
  • Allocators assess each provider's quality, independence and track record during ODD.
  • Provider selection is a commercial decision, not just an administrative one.
  • Consistency and coordination across providers matter as much as any individual appointment.

The core line-up

The administrator calculates NAV, maintains the register, handles investor services and operates KYC and AML procedures. The auditor, approved to sign off Cayman financial statements, provides independent assurance.

Directors, ideally including experienced independent directors, provide governance and oversight; see the duties of Cayman fund directors. The corporate services provider supplies the registered office, corporate administration, statutory records and, often, the AML officer appointments. The fund's constitutional and offering documents are prepared as a separate documentation workstream at launch.

What allocators look for in each

ODD teams assess the administrator's systems, controls, independence in NAV production and reputation; the auditor's standing and independence; the directors' expertise, capacity and genuine independence; and the overall coherence of the arrangements.

They probe whether functions that should be independent, such as valuation, really are, and whether providers have the scale and track record to support the fund as it grows. Our guide to board oversight of a hedge fund valuation policy covers the valuation point in more detail.

A practical selection checklist

When evaluating providers, consider:

  • relevant experience with your strategy and structure
  • regulatory standing and reputation
  • independence from the manager where it matters
  • capacity to service the fund and scale with it
  • quality of systems, controls and reporting
  • responsiveness and service culture
  • fee transparency
  • references from managers and allocators

Ask how each provider would look under ODD, because your investors will ask exactly that.

Coordination is part of the job

Even capable individual providers underperform if poorly coordinated. Clear allocation of responsibilities, good information flow, and a provider willing to help coordinate the others reduce operational risk and make the fund easier to diligence and to run.

The same question arises whether the fund launches on its own or joins an existing structure; see a Cayman fund platform compared with a standalone launch.
