CIMA fund registration and ongoing obligations go together: registering a fund with the Cayman Islands Monetary Authority is a milestone in a launch, but it starts a continuing supervisory relationship rather than completing a one-off event. This guide outlines what registration involves and the recurring audit, filing, governance, AML and tax transparency obligations that follow.

Key takeaways

  • Most Cayman funds must register with CIMA before, or shortly after, carrying on business.
  • Registration requires prescribed filings, a Cayman-approved auditor, and payment of fees.
  • Ongoing obligations include audited financial statements, annual returns, AML officer appointments, and FATCA, CRS and economic substance filings.
  • Missed filings and deadlines can result in penalties, so a compliance calendar is essential.

Registering the fund

Whether under the Mutual Funds Act (As Revised) or the Private Funds Act (As Revised), registration involves filing the fund's constitutional and offering documents (where applicable), prescribed forms, confirmation of the auditor's appointment, and payment of the registration fee. Current fees are published by CIMA.

For private funds, CIMA will expect the operational arrangements the Act requires to be in place: valuation, safekeeping, cash monitoring and title verification. Timing matters, because private funds generally must register within a set period of accepting commitments; see the Cayman private funds regime.

Annual filings

Registered funds must file audited financial statements each year, prepared in accordance with acceptable accounting standards and signed off by a CIMA-approved Cayman auditor; see Cayman fund audit requirements.

They also file an annual return in the form of a Fund Annual Return, with the applicable fees. These are firm deadlines; late filing attracts penalties and regulatory attention.

Governance and AML

Registered funds must maintain appropriate governance, including directors who, for many funds, must be registered with or licensed by CIMA under the Directors Registration and Licensing Act (As Revised). They must also appoint the required anti-money-laundering officers: an MLRO, a DMLRO and an AMLCO.

These roles can be outsourced to a qualified provider, but the board retains oversight responsibility.

Tax transparency and substance

Separately from CIMA, funds have obligations to the Cayman Tax Information Authority under FATCA and the Common Reporting Standard: classification, registration and annual reporting. They must also file an annual economic substance notification, with an economic substance return where a relevant activity is carried on.

These regimes run in parallel and each has its own deadlines; see Cayman FATCA classification and reporting.

Keeping it all on track

The practical challenge is not any single filing but coordinating them across the year without gaps. A maintained compliance calendar, clear ownership of each obligation, and a service provider that tracks deadlines are what keep a fund in good standing and ready for audit.
